This Agreement governs the relationship between Vrymart, Inc. ("Vrymart") and those who promote Platform Services in exchange for a commission ("Affiliate"). It supplements the Terms and Conditions of Use.

1. Eligibility

1.1. You must be over 18 and have legal capacity.

1.2. You must legally reside in the United States or Canada (for now, the countries to which we can send you payments through Stripe Connect) and pass Stripe's verification (KYC). Without a verified Stripe Connect account you cannot be paid your commissions.

1.3. You are an independent contractor. This Agreement creates no employment, partnership, or agency relationship.

2.1. You may create campaigns with referral links to promote Platform Services.

2.2. Attribution. When a visitor arrives via your link, the Platform stores an attribution cookie for 30 days (unless their browser sends the GPC privacy signal). If they purchase the Service within that period, the sale is attributed to you and you earn a commission. Attribution relies on that cookie; if the user deletes it, switches devices, or switches browsers, the purchase may not be attributed.

2.3. Clicks. Your dashboard counts one click per visit: reloading the page, changing the language, or coming back after logging in does not add another. If the visitor's browser sends the GPC privacy signal, we keep nothing about the visit and each load counts. Clicks are a dashboard metric: the commission depends only on attribution (2.2).

3. Commissions

3.1. Amount. The commission for each Service is set by the Partner (a percentage of the price). The percentage in effect at the time of purchase applies.

3.2. Accrual and payment. The commission is earned upon the attributed sale and is paid when the order's funds are released (after delivery confirmation and the grace period, or resolution of the dispute in the Partner's favor), via transfer to your Stripe Connect account.

3.3. Reversal. If the order is refunded or cancelled (failure, expiry, dispute in the Buyer's favor, or withdrawal before delivery), the commission is not paid and, if the metrics already reflected it, it is reversed. If the Buyer wins a chargeback with their bank after you were paid, Vrymart reverses the transfer of your commission.

3.4. Taxes and tax forms. You are responsible for declaring and paying taxes on your commissions. Collection of your tax information and any issuance of forms (e.g., W-8/W-9, 1099-K) are handled through Stripe; you must provide accurate, current tax information.

4. Mandatory disclosure (advertising transparency)

You must clearly and conspicuously disclose your affiliate relationship when promoting Services, in accordance with applicable law (in the U.S., the FTC Endorsement Guides, 16 CFR Part 255; and equivalent advertising/consumer rules elsewhere). For example, label the content as advertising or sponsored ("#ad") near the link. You must not present your recommendations as impartial opinions if you receive a commission.

5. Prohibited conduct

You must not:

  • Self-refer or claim commissions for your own purchases. The Platform does not recognize a commission when the Affiliate and Buyer are the same person.
  • Artificially inflate clicks or conversions, or manipulate attribution.
  • Promote through spam, unsolicited email, misleading advertising, false statements about the Services, or any means that breaches the law.
  • Use Vrymart's or Partners' trademarks without authorization or in a way that misleads about your relationship with them.
  • Promote Services that breach the Acceptable Use Policy.
  • Bid on brand terms in paid advertising without authorization.

6. Relationship with Buyers and Partners

You do not represent Vrymart or the Partners. You are not authorized to make promises, offer warranties, or assume obligations on their behalf.

7. Suspension and termination

Vrymart may suspend or terminate your Affiliate account, and withhold or void commissions earned fraudulently or in breach of this Agreement, or in the event of legal, fraud, or security risk. The disclosure (4), tax (3.4), and liability (8) obligations survive termination.

8. Liability and indemnification

You are responsible for your promotional activities. You will indemnify Vrymart for claims arising from your marketing practices or your breach of this Agreement, under the indemnification clause of the Terms and Conditions of Use.

The provisions of the Terms and Conditions of Use apply (Delaware, USA).
